1. Agreement to Terms

By installing, accessing, or using CarbonCart ("the App"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these terms, you may not access or use the App. CarbonCart is operated by NetZero Labs ("we", "us", or "our").

2. Description of Service

CarbonCart is a Shopify plugin that enables e-commerce businesses to:

• Automatically offset carbon emissions from customer orders through verified tree-planting initiatives
• Display carbon offset impact to customers at checkout and on an impact dashboard
• Configure offset rules (per order, per checkout, rounded-up amounts)
• Generate impact reports and receipts for customers and internal teams
• Connect with verified plantation partners for carbon offsetting

3. Eligibility and Account Requirements

To use CarbonCart, you must:

• Have an active Shopify store
• Be at least 18 years old or the age of majority in your jurisdiction
• Have the legal authority to bind your business to these Terms
• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials

4. Carbon Offset Processing

4.1 Offset Calculations

Carbon offset amounts are calculated based on industry-standard methodologies and the rules you configure in the App. While we strive for accuracy, offset calculations are estimates and may vary based on multiple factors including product type, shipping distance, and packaging materials.

4.2 Plantation Partners

We partner with verified plantation organizations that adhere to recognized carbon offset standards. However, we do not guarantee specific outcomes of tree-planting initiatives, as environmental factors may affect tree survival rates and carbon sequestration.

4.3 Payment Processing

Carbon offset contributions collected through your store are processed and transferred to our plantation partners according to your selected offset rules. We reserve the right to withhold transfers if fraudulent activity is detected.

5. Merchant Responsibilities

As a merchant using CarbonCart, you agree to:

• Accurately represent the carbon offset program to your customers
• Not make false or misleading claims about carbon neutrality or environmental impact
• Comply with all applicable laws regarding environmental claims and consumer protection
• Ensure that customer data collected through the App is handled in accordance with privacy laws
• Not use the App for any illegal or unauthorized purpose

6. Pricing and Payment Terms

6.1 Subscription Fees

CarbonCart subscription fees are billed according to your selected plan. All fees are exclusive of taxes unless otherwise stated. Subscription fees are non-refundable except as required by law.

6.2 Offset Contributions

Carbon offset contributions are separate from subscription fees and are paid by your customers or your business, depending on your configuration. We charge a service fee for processing these contributions as outlined in your plan.

6.3 Fee Changes

We reserve the right to modify subscription fees with 30 days' notice. Continued use of the App after fee changes constitutes acceptance of the new fees.

7. Data and Privacy

Your use of CarbonCart is also governed by our Privacy Policy. By using the App, you consent to:

• Collection and processing of order data, customer information, and carbon offset metrics
• Storage of data on secure cloud infrastructure
• Sharing of aggregated, anonymized data for environmental impact reporting
• Integration with your Shopify store and third-party plantation partners

8. Intellectual Property

The App, including its original content, features, and functionality, is owned by NetZero Labs and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the App without our prior written consent.

9. Limitation of Liability

To the maximum extent permitted by law:

• CarbonCart is provided "as is" without warranties of any kind, express or implied
• We do not guarantee uninterrupted or error-free operation of the App
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not responsible for the actions or performance of third-party plantation partners
• We do not guarantee specific carbon offset outcomes or tree survival rates

10. Indemnification

You agree to indemnify and hold NetZero Labs harmless from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the App; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) false or misleading environmental claims made to your customers.

11. Termination

We may terminate or suspend your access to CarbonCart immediately, without prior notice, for:

• Breach of these Terms
• Fraudulent or illegal activity
• Non-payment of subscription fees
• At our sole discretion for any other reason

You may cancel your subscription at any time through your Shopify admin panel. Upon termination, your right to use the App ceases immediately, but provisions regarding payment obligations, liability limitations, and indemnification survive termination.

12. Compliance with Shopify Policies

Your use of CarbonCart must comply with Shopify's Terms of Service, API Terms, and App Store Guidelines. Any violation of Shopify policies may result in immediate termination of your access to the App.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or through the App. Continued use of CarbonCart after changes become effective constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically.

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

14.2 Arbitration

Any dispute arising from these Terms or the App shall be resolved through binding arbitration, except that either party may seek injunctive relief in court for intellectual property infringement.

15. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and NetZero Labs regarding the App
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect
• Waiver: Failure to enforce any provision does not constitute a waiver of that provision
• Assignment: You may not assign these Terms without our prior written consent
• Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control
